Terms & Conditions

These Terms & Conditions ("Terms") govern the work, deliverables, and services provided by Nils Digital ("Nils Digital", "we", "us", or "our") to you, the client ("you" or "your"). By engaging Nils Digital, signing up for a membership, or paying any invoice, you agree to these Terms.

1. Ownership of Work

You own only what you paid a setup or development fee for. Everything else we build, we own, unless we agree otherwise in writing.

This covers websites, funnels, code, automations, workflows, integrations, ad creative, and every other deliverable we produce. Work built under your membership that you were not separately charged to create is licensed to you only while your membership is active: you are renting access, not buying it. If you pause or cancel, that access ends and we may take the membership work offline.

When a deliverable carries a setup or development fee, we tell you before you buy, and you own that deliverable and keep it even if you cancel. A website is the common case: you own the website itself, but extras built around it like forms, workflows, and automations still need an active membership to keep running. You are welcome to take code you own and modify or re-host it elsewhere, but that is on you, as we do not offer a service to move or re-host your project.

We never claim your own brand, logos, content, customer data, domains, or accounts. Those remain yours at all times.

2. Communication & Disputes

Both parties agree to maintain respectful, professional communication at all times. Any questions, concerns, or disputes are handled directly over a call with our team, not through public reviews, social media, or third parties.

3. No Long-Term Contracts

This is a month-to-month service. Cancel anytime by contacting us. No penalties, no hassle.

4. All Sales Final

All payments are final. No refunds. No chargebacks. By submitting payment, you agree not to dispute charges through your bank or payment processor. If there is a billing issue, contact us and we will sort it out.

5. Platform Usage Costs

You are responsible for the platform usage on your account: emails, SMS, phone calls, AI features, and extra usage like webhooks or premium actions. These are billed at exact provider cost with zero markup, the same pricing our provider offers us.

Every account starts with a $0 balance. Each time you send an email or SMS, or use extra usage, it costs a fraction of a cent and draws down that balance. Once the balance goes negative, we recharge the account using your payment method on file to keep your services running. For example, once you start using the services we recharge $10, and that amount stays on the account as credit until it is used.

Please note:

• These payments go directly to our providers, even though our name appears on the transaction. We do not keep any part of them.
• All recharges are non-refundable.

By proceeding with payment, you confirm that you have read and agree to all of the terms above.

We may update these Terms from time to time. The version posted here, with its "Last updated" date, is the current and governing version. Continuing to use our services after an update means you accept the updated Terms.
